Terms of Service

Welcome to OakFlow. These Terms of Service ("Terms") govern your use of the OakFlow platform, website, and related services (the "Services") operated by OakFlow Co., Ltd. ("OakFlow", "we", "us"). By creating an account or using the Services you agree to these Terms.

1. Eligibility

You must be a legally registered business, with signing authority, to use the Services. Individual consumer use is not permitted. You represent that the information you provide during account creation and KYB verification is accurate and complete.

2. The Services

OakFlow provides a financial operating platform for businesses, including multi-currency accounts, cross-border payments, expense management, virtual cards, and invoicing. Regulated activities (money transmission, deposit-taking, card issuance) are performed by our licensed partner banks and payment institutions. OakFlow itself is a technology provider.

3. Know-Your-Business (KYB) and Compliance

Before you can use regulated features (sending money, receiving payments, issuing cards) you must complete our KYB verification process. This includes providing your business tax ID, registration number, address, and supporting documents. We may ask for additional information at any time to comply with applicable AML, sanctions, and regulatory requirements. We may suspend or terminate your account if you fail to provide required information.

4. Fees

Fees for the Services are disclosed in your dashboard or in the separate Pricing Agreement you sign with OakFlow. Cross-border transfers carry an FX spread and a per-transaction fee depending on the rail used. We may change fees with 30 days notice.

5. Your Responsibilities

  • Keep your login credentials secure and report unauthorised access promptly.
  • Use the Services only for lawful business activity.
  • Do not attempt to reverse-engineer, scrape, or abuse the Services.
  • Comply with all applicable Vietnamese laws, including tax, foreign exchange, and AML regulations.

6. Prohibited Activity

You may not use the Services to facilitate: gambling, unlicensed securities or crypto trading, arms dealing, sanctioned entities, human trafficking, or any activity prohibited by the State Bank of Vietnam or FATF standards. We screen transactions and may freeze accounts at our sole discretion where we suspect prohibited activity.

7. Data and Privacy

Our handling of personal and business data is described in our Privacy Policy. You consent to OakFlow sharing required data with our bank, card, and rail partners for the purpose of executing your instructions and complying with law.

8. Disclaimers and Liability

The Services are provided "as is". To the fullest extent permitted by law, OakFlow disclaims all warranties, express or implied. Our aggregate liability for claims arising from the Services is limited to the fees you paid to us in the preceding 12 months. We are not liable for indirect, incidental, or consequential damages.

9. Termination

You may close your account at any time by contacting support. We may suspend or terminate your account with reasonable notice, or immediately for serious breach, regulatory requirement, or suspected fraud. Upon closure, funds in your accounts will be returned to a nominated bank account after applicable reconciliation.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified to you by email and in the dashboard at least 30 days before they take effect. Continued use of the Services after the effective date constitutes acceptance.

11. Governing Law

These Terms are governed by the laws of the Socialist Republic of Vietnam. Any dispute will be resolved exclusively by the Vietnam International Arbitration Centre (VIAC) in Ho Chi Minh City.
